Pinci & Associates successfully represented ASSA ABLOY (www.assaabloy.com) in the acquisition of Valli &Valli, a leading Italian manufacturer of design handles (www.vallievalli.com) based near Milan, Italy. The acquisition of the Italian manufacturing operations was closed in Milan in July, 2008. The company employs 180 people and is expected to reach a turnover of more than EUR 30 M in 2008. Pinci & Associates represented Assa Abloy also in the separate acquisitions and closings of the V&V independent distributors in the USA, Benelux and the UK.

The transaction was coordinated on the legal side by the General Counsel of Assa Abloy AB, Jacob Wahlberg and his team in Stockholm. The Assa Abloy Italian acquisitions team was headed by Yvan Haddad and Mario Luppi, respectively CEO and CFO of Assa Abloy Italia. The Pinci & Associates M&A Team was led by Marcantonio Pinci, with Alessandro Bianchini, based at the P&A Milan and Florence offices, in charge of the Italian legal due diligence; and Genci Bilali and Betul U. Diskaya, at the P&A New York office, with the support of Guy Sirna CPA LLC for the US financial and tax due diligence. Andrew Colvin, acted as counsel to the P&A Team for the UK acquisition, and Eddy Glaude was counsel for the Benelux acquisition. The P&A Team’s work was supported by Price Waterhouse & Cooper acting as financial and tax due diligence provider, and, on the technical side, by URS Italia acting as environmental due diligence provider. Advice on EU and Italian Antitrust issues was rendered by Prof. Alessandro Morini and Andrew Colvin, based at the P&A offices in Genova and Rome.
